Terms of Service

Last updated: October 2023. These Terms of Service govern your use of the Relaytiv platform operated by Vitiv.ai. By creating an account or using the service, you agree to these terms in full. If you do not agree, please do not use the service.

1. Service Description

Relaytiv (operated by Vitiv.ai) provides an AI-powered customer conversation management platform accessible via subscription. The platform enables businesses to manage customer conversations across WhatsApp, Instagram, Messenger, web chat, and custom channels using artificial intelligence.

2. Account Registration

Relaytiv accounts are for business use only. You must provide accurate information when registering. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@vitiv.ai if you believe your account has been compromised.

3. Acceptable Use

You agree to use Relaytiv only for lawful business purposes. You must not use the platform to send unsolicited bulk messages, distribute illegal content, harass or threaten others, impersonate other businesses, or scrape or harvest contact data without consent. 4. Subscription and Billing

Plans are billed monthly in advance on a recurring basis. Subscriptions auto-renew unless cancelled with at least 30 days' notice before the next billing date. Pricing is available in USD and INR. We do not offer refunds for partial months of service. All prices are stated exclusive of applicable taxes.

5. Credits

Each plan includes a monthly credit allowance for AI actions (such as generating AI replies, understanding images, or transcribing voice notes). Credits are not a charge for message delivery. Each standard AI reply costs under 0.5 credits. Unused plan credits reset at the start of each billing cycle. Top-up credit packs are available and never expire while your plan is active. Credits consumed in violation of the Fair Usage Policy may be recovered without refund.

6. WhatsApp API and Messaging Charges

WhatsApp API messaging fees are billed directly by Meta or your chosen BSP at Meta's published per-conversation rates. These charges are separate from Relaytiv's plan price. WhatsApp Web connectivity carries no messaging delivery charge. International numbers purchased inside Relaytiv are provisioned at a credit cost shown at the time of purchase.

7. Intellectual Property

You retain full ownership of the content and conversation data generated through your use of the platform. Relaytiv retains ownership of the platform, its underlying technology, and all intellectual property related to the service itself. You grant us a limited licence to process your data solely as necessary to provide the service.

8. Limitation of Liability

To the maximum extent permitted by law, Relaytiv's total liability to you for any claim arising from your use of the service is limited to the fees you paid in the three months preceding the claim. We are not liable for indirect, consequential, incidental, special, or punitive damages arising from your use of the service.

9. Termination

Either party may terminate a subscription with 30 days' written notice. Relaytiv reserves the right to suspend or terminate accounts immediately in cases of serious policy violations, fraudulent activity, or illegal use. Upon termination, your data will be available for export for 30 days before deletion.

10. Governing Law

These Terms of Service are governed by the laws of the State of Alabama, USA. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Alabama.

11. Changes to These Terms

We may update these terms from time to time. For material changes, we will provide at least 14 days' notice by email to the address associated with your account. Continued use of the service after the effective date constitutes acceptance of the revised terms.
